Eine Limited Partnership (LP oder L.P.; deu. Beschränkte Partnerschaft) ist eine angelsächsische Unternehmensrechtsform, die mit einer deutschen Kommanditgesellschaft vergleichbar ist und sich aus mindestens zwei Gesellschaftern zusammensetzt[1].

Hintergründe

Der Komplementär einer Limited Partnership ist der General Partner, der ebenfalls die Geschäftsführung und Vertretungsmacht der Gesellschaft innehält. Die Investoren beteiligen sich ähnlich wie Aktionäre bzw. Kommanditisten als Limited Partner.

Anders als bei der Kommanditgesellschaft nach deutschem Recht sind bei einer Limited Partnership die Mitsprache- und Kontrollrechte der Anleger (Limited Partner) eingeschränkt. In einigen Staaten der USA dürfen Limited Partner jedoch in die Geschäftsführung eingreifen. Allerdings haften sie dann nicht mehr nur mit ihrer Einlage, sondern mit ihrem ganzen Vermögen wie der oder die General Partner.

Die Limited Partnership ist die Rechtsform, unter der viele angelsächsische Private Equity und Venture Capital-Gesellschaften geführt werden[2].
