Down payment

Down payment ist ein englischer Begriff für Vorauszahlung oder Anzahlung. Er wird im Zusammenhang mit Kaufverträgen, Lizenzverträgen oder Franchiseverträgen für die erste Zahlungsrate (ggf. auch die ersten Raten) verwendet.

Bei Kaufverträgen, die mit Lieferterminen verbunden sind, wird oft eine Anzahlung vereinbart. Dies trifft besonders zu bei Werkverträgen (z. B. Anlagengeschäft) sowie bei größeren Kaufpreisbeträgen. Im internationalen Geschäft wird hier gerne der Begriff Down payment anstelle des deutschen Worts Anzahlung verwendet.

Bei Lizenzverträgen erteilt ein Inhaber eines Schutzrechts, von Know-how oder von Software einem Lizenznehmer das Recht zur Nutzung gegen Entgelt. Hier ist der Begriff Down payment auch im deutschen Geschäftsleben üblich. Anders als bei einer Anzahlung im Kaufvertrag handelt es sich hier nicht um die erste Rate eines betragsmäßig fest vereinbarten Kaufpreises. Vielmehr wird bei Lizenzverträgen üblicherweise mit Down payment eine erste (oder ggf. mehrere) feste Zahlungen nach Vertragsabschluss bezeichnet. Diese Zahlungen unterscheiden sich dann von den folgenden laufenden Lizenzgebühren oder running royalties. Letztere werden in Äbhängigkeit vom Geschäftserfolg über die Zeit berechnet (z. B. als Prozentsatz vom Umsatz, oder als Stücklizenz vom Absatz), bzw. bei Software von der Zahl der nutzenden Arbeitsplätze. Das Down payment schützt den Lizenzgeber, da er anschließend sein Know-how preiszugeben hat. Es ist zugleich ein Eintrittsgeld, um Vorleistungen abzugelten.

Bei Franchiseverträgen, insbesondere beim Franchising, erteilt ein Franchisegeber einem Dritten ein Recht zur Nutzung eines immateriellen Werts (z. B. ein Geschäftsmodell), das nicht nur aus den klassischen Inhalten eines Lizenzvertrags besteht. Das Down payment erfüllt hier den gleichen Zweck wie beim Lizenzvertrag.
