Caveat emptor

Caveat emptor ist lateinisch für ‚Der Käufer muss Acht geben‘, auch ‚Der Käufer möge sich hüten‘.

Vor der gesetzlichen Verankerung der Gewährleistung im modernen Zivilrecht hatte ein Käufer gewöhnlich keinerlei Garantie für die Qualität der Ware, wenn er nicht entsprechende Klauseln im Kaufvertrag selbst mit dem Verkäufer aushandeln konnte; es galt der Grundsatz „Gekauft wie gesehen“. In vielen Staaten sieht das Gesetz mittlerweile vor, dass ein Gut, eine Ware „handelsfähige Qualität“ haben muss, oder schreibt sogar eine Mindestgarantiefrist für bestimmte Produktklassen vor. Qualität lässt sich jedoch nach wie vor nicht immer in jedem Fall oder für jedes Produkt gesetzlich vorschreiben. Daher sind Käufer nach wie vor gut beraten, vorsichtig zu sein.

Dieser dem angelsächsischen Recht entstammende Grundsatz führt beispielsweise zur Notwendigkeit einer Due-Diligence-Prüfung vor Erwerb eines Unternehmens. Im Gegensatz hierzu steht der Grundsatz des deutschen Kaufrechtes culpa in contrahendo, wonach der Veräußerer bereits eine vorvertragliche Aufklärungs- und Sorgfaltspflicht hat.
